Open Eye Pty Ltd (the Company) is an Australian media content producer and marketer of the company’s films. The Company and its Managing Director, Oscar Scherl, have been active in the film and television industry since 1974. The main areas of operations have been; Director of Photography services, owning and managing a film Equipment Rental Company, Producing (23 Films) and Marketing the feature films and documentaries. Until the withdrawal of Government tax incentive finance in the late 90’s we provided film finance via an ASIC approved Dealers License and specialized in Film Fund Management and Executive Producing, rising $120 Million’s worth of production finance for Australian films. Due to the CEO’s personal reasons the company has not traded over the last five years.
Although long standing, the Company is to be considered as a Start-Up Company which owns many valuable Intellectual Properties. We have also assembled a key team of highly experienced industry professionals with creative and executive management skills in all areas of the Screen Industry. The Company is now focusing on providing screen industry services and expanding to create, produce and market quality screen content for the World Screen Industry. To do this the Company is seeking Seed Finance of $1 million to realize its aim to monetize the valuable intellectual properties. Open Eye is seeking few investors or ideally, a single investor in order to have the flexibility, less administrative requirements and if so inclined involve the Investor in the operation of realizing the company’s aims.
OUR INTELLECTUAL PROPERTIES;
Open Eye has acquired and assembled a large range of Intellectual Properties, including thirty two (32) feature film scripts to be developed further and sold.
We have selected three outstanding scripts as our lead feature film projects; CLARA, STINGERS and HORRIE’s WAR to be developed / produced within five years.
The Company owns a library of 5 completed feature films, SILVER CITY (Ivar Kants, Gosha Dobrowolska, Steve Bisley), DEATH OF A SOLDIER (James Coburn, Maurie Fields, Reb Brown), SANCTUARY (Steve Bisley, Arky Michael), MASLIN BEACH, and VIOLETS VISIT, plus documentaries, BLOWN AWAY and the 4 x 1 hour CHINA MOON documentary series, the entire film based library is to be digitized and sold to the many new outlets, world-wide.

IN SUMMARY, the Seed Finance of $1 Million will be utilized to develop the script library ready for sale, develop our main feature films, digitize and re-master all the library films to be sold on the world market, develop our ancillary projects and sell or service them ourselves, and to utilize the part of the finance for working capital over a five year period.
OVERVIEW OF INVESTMENT REQUIREMENTS
All development budgets are detailed in the outline of each Project;
Feature Film – CLARA - Dev. $75,000
Feature Film – STINGERS - Dev. $47,000
Feature Film – HORRIE’s WAR - Dev. $50,000
Digitizing of Open Eye’s Existing Film Library in summary; $250,000 Working Capital over a five year period; $578,000
Total investment requirements; $1,000,000
• Investors shall receive 10% interest per annum on a direct cash investment basis,
• Investors will receive the ROI plus interest in fist position from any and all income received by the company, including Royalties from the sale of the films, (estimated at $2 Million), producer’s fees, company service fees, etc.
• Investors shall receive, pari-passu, 20% of net profits, after the principal and interest is repaid, up to the end of the five year period.
• The 5 largest Investors shall receive (Associate Producer) accreditation on the feature films to be developed.
• An International investor (investing more than $750,000) may receive an Australian Business visa and after four years may apply for residency.
• An Australian (single) Investor or entity, may apply to the Company to receive an assignment of copyright of a film from the library, which may be eligible for a tax deduction from his / its regular income under the Cultural Gifts Program.
• Investors shall have First Option to invest in the production costs of a chosen film.
The company reserved the right to pay-out the principal and interest at any time.
The Company intends to develop CLARA, and digitize the Film Library in the first year,
The Film STINGERS will be developed at the beginning of the second year,
The film HORRIE is intended to be developed no later than at the beginning of the third year,
After digitising, the films of the library will be sold and royalties collected throughout the five year period. After the feature films are developed, production finance will be sought.
It is traditional in the industry, once projects are developed, budgeted and cast, production finance is readily available from various Government sources, Co-production partners, Distributors and Private Investors.
The company reserves the right to change the order of the films to be produced or exchange a film for another, for business reasons, for non-availability of major cast or location costs.
