INVESTMENT MEMORANDUM
Re: “The Last Mission” (the “Picture”)
With respect to the above-mentioned Picture, this letter shall serve to confirm that __________________________________________________ (the “Investor”) shall invest the sum of TWO MILLION FIVE HUNDRED THOUSAND, ($2,500,000 .00) DOLLARS in U.S. currency in and to the Picture (the “Investment”). In exchange for the Investment, the parties agree that the Investor shall recoup their Investment in ‘first position’ being after distribution and sales expenses have been deducted. The main actors in the Picture (Chaim Topol and the other Principal Actors, along with Resolution Media Inc. and Brown Films Ltd., (the “Producer”) shall recoup any investment they make in the Picture in second position. Once the parties have recouped their respective investments, the Investor shall be entitled to receive FIFTY PER CENT (50%) of the net revenue stream to the Producer (Adjusted Gross) pari passu, in perpetuity.
It is anticipated that pre-production of the Picture will commence in late April, 2014 with the start of principal photography in June, 2014 in the United Kingdom (London). Delivery of the Picture will occur on or before November 30, 2014.
The budget of the Picture (including any actor’s deferrals) shall not exceed FIVE MILLION, ($5,000,000 U.S.) DOLLARS in U.S. currency.
The Investment shall be made payable to an account under the control and per view of the Motion Picture Bond Company in Trust; that will be contracted, and the Investment shall be held untouched in their accounts until the Picture is bonded and insured. The Investment may be released by the Producer upon the provision to the ‘Investors’ and Egon von Foidl of the relevant inter-party agreements and evidence that insurance and the completion bond are in place.
The Investor shall be a named insured on the insurance policy and a beneficiary of the Completion Bond.
